Introduction

Your privacy is important to us. It is BidClips, LLC's policy to respect your privacy regarding any information we may collect from you across our website, https://bidclips.com ("our Website"), and other sites we own and operate.

This policy describes the types of information we may collect from you or that you may provide when you visit our Website and our practices for collecting, using, maintaining, protecting, and disclosing that information.

This policy applies to information we collect:

  • On this Website.
  • In email, text, and other electronic messages between you and this Website.
  • Through mobile and desktop applications you download from this Website, which provide dedicated non-browser-based interaction between you and this Website.

These security and privacy practices, including how we protect, collect, and use electronic data, text, messages, communications or other materials submitted to and stored within the Services by You (“Service Data”), are detailed in and governed by our Service Agreement, available here, or such other applicable agreement between you and any member of BidClips relating to Your access to and Your use of such Services (collectively referred to as the “Service Agreement”).

    Subscribers to our Services are solely responsible for establishing policies for and ensuring compliance with all applicable laws and regulations, as well as any and all privacy policies, agreements or other obligations, relating to the collection of personal information in connection with the use of our Services by individuals (also referred to as “data subjects”) with whom our Subscribers interact. If you are an individual who interacts with a Subscriber using our Services, then you will be directed to contact our Subscriber for assistance with any requests or questions relating to your personal information.

    We collect information under the direction of our Subscribers, and have no direct relationship with individuals whose personal information we process in connection with our Subscriber’s use of our Services. The use of information collected through our Services shall be limited to the purpose of providing the service for which Subscribers have engaged a member of the BidClips. If you are an individual who interacts with a Subscriber using our Services (such as a customer or user of one of our Subscribers) and would either like to amend your contact information or no longer wish to be contacted by one of our Subscribers that use our Services, please contact the Subscriber that you interact with directly.

Please read this policy carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, your choice is not to use our Website. By accessing or using this Website, you agree to this privacy policy. This policy may change from time to time (see Changes to This Privacy Policy). Your continued use of this Website after we make changes is deemed to be acceptance of those changes, so please check the policy periodically for updates.

Account and Service Registration Information

We also ask for and collect personal information such as an email address and a name or alias from any individual that you authorize to log into and utilize our Services in connection with Your Account (an “End-User” as defined in the Service Agreement). We base the processing of your personal information on our legitimate interest to provide you with the necessary functionality required during your use of our Service(s);

Other Submissions

We ask for and may collect personal information from you when you submit web forms on our Websites or as you use interactive features of the Websites, including: participation in surveys, contests, promotions, sweepstakes, requesting customer support, or otherwise communicating with us. We process your personal information to perform our contract with you for the use of our websites and the Service(s) and to fulfill our obligations under the Subscription Agreement to You; where we have not entered into the Subscription Agreement with you, we base the processing of your personal information on our legitimate interest to operate and administer our websites and to provide you with the content you access and request.

User Contributions

You also may provide information to be published or displayed (hereinafter, "posted") on public areas of the Website, or transmitted to other users of the Website or third parties (collectively, "User Contributions"). Your User Contributions are posted on and transmitted to others at your own risk. We cannot control the actions of other users of the Website with whom you may choose to share your User Contributions. Therefore, we cannot and do not guarantee that your User Contributions will not be viewed by unauthorized persons.


Information We Collect Through Automatic Data Collection Techniques

Logs

When you visit our website, our servers may automatically log the standard data provided by your web browser. Legal Bases For Processing (EEA Visitors Only)

We will process your personal information lawfully, fairly and in a transparent manner. We collect and process information about you only where we have legal bases for doing so.

These legal bases depend on the services you use and how you use them, meaning we collect and use your information only where:

  • it's necessary for the performance of a contract to which you are a party or to take steps at your request before entering into such a contract (for example, when we provide a service you request from us);

If necessary, we may retain your personal information for our compliance with a legal obligation or in order to protect your vital interests or the vital interests of another natural person.

We may disclose aggregated information about our users, and information that does not identify any individual, without restriction.

We may disclose personal information that we collect or you provide as described in this privacy policy:

  • To our subsidiaries and affiliates.
  • To contractors, service providers, and other third parties we use to support our business and who are bound by contractual obligations to keep personal information confidential and use it only for the purposes for which we disclose it to them.
  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of BidClips' assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by BidClips about our Website users is among the assets transferred.
  • To third parties to market their products or services to you if you have not opted out of these disclosures.
  • To fulfill the purpose for which you provide it.
  • For any other purpose disclosed by us when you provide the information.
  • With your consent.

We may also disclose your personal information:

  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
  • To enforce or apply our Terms of Use, Service Agreement and other agreements, including for billing and collection purposes.
  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of BidClips, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.

International Transfers of Personal Information

The personal information we collect is stored and processed in United States, or where we or our partners, affiliates and third-party providers maintain facilities. By providing us with your personal information, you consent to the disclosure to these overseas third parties.

We will ensure that any transfer of personal information from countries in the European Economic Area (EEA) to countries outside the EEA will be protected by appropriate safeguards, for example by using standard data protection clauses approved by the European Commission, or the use of binding corporate rules or other legally accepted means.

Where we transfer personal information from a non-EEA country to another country, you acknowledge that third parties in other jurisdictions may not be subject to similar data protection laws to the ones in our jurisdiction. There are risks if any such third party engages in any act or practice that would contravene the data privacy laws in our jurisdiction and this might mean that you will not be able to seek redress under our jurisdiction’s privacy laws.


Other Important Privacy Information

Notice to End-Users

Our Services are intended for use by enterprises. Where our Services are made available to you through a Subscriber of ours, that enterprise is the data controller of your personal information. Your data privacy questions and request should initially be submitted to the BidClips Subscriber in its capacity as your data controller. BidClips is not responsible for our Subscribers’ privacy or security practices which may be different than this Policy.

BidClips' Subscribers are able to:

  • restrict, suspend or terminate your access to the Services;
  • access and describe your personal information that you provided to them;
  • access and export your personal information processed by them; and
  • amend your personal information, including your end-user profile.

Data Retention

Where BidClips is the data controller of personal information (for example, personal information relating to Website Visitors, Attendees and individuals who register to use our Services), then we retain the personal information we collect where we have an ongoing legitimate business need to do so (for example, to provide you with our Services, to enable your participation in an event, and to comply with applicable legal, tax or accounting requirements).

When we have no ongoing legitimate business need to process your personal information, we will either delete or aggregate it or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

If your personal information is processed within a Subscriber’s Service Data, we will process the personal information for as long as we are instructed to do so by the relevant Subscriber that is the data controller of the Subscriber Service Data.


Your Rights and Controlling Your Personal Information

Choice and consent: By providing personal information to us, you consent to us collecting, holding, using and disclosing your personal information in accordance with this privacy policy. If you are under 16 years of age, you must have, and warrant to the extent permitted by law to us, that you have your parent or legal guardian's permission to access and use the website and they (your parents or guardian) have consented to you providing us with your personal information. You do not have to provide personal information to us, however, if you do not, it may affect your use of this website or the products and/or services offered on or through it.

Information from third parties: If we receive personal information about you from a third party, we will protect it as set out in this privacy policy. If you are a third party providing personal information about somebody else, you represent and warrant that you have such person's consent to provide the personal information to us.

Restrict: You may choose to restrict the collection or use of your personal information. If you have previously agreed to us using your personal information for direct marketing purposes, you may change your mind at any time by contacting us using the details below. If you ask us to restrict or limit how we process your personal information, we will let you know how the restriction affects your use of our website or products and services.

Access and data portability: You may request details of the personal information that we hold about you. You may request a copy of the personal information we hold about you. Where possible, we will provide this information in CSV format or other easily readable machine format. You may request that we erase the personal information we hold about you at any time. You may also request that we transfer this personal information to another third party.

Notification of data breaches: We will comply laws applicable to us in respect of any data breach.

Complaints: If you believe that we have breached a relevant data protection law and wish to make a complaint, please contact us using the details below and provide us with full details of the alleged breach. We will promptly investigate your complaint and respond to you, in writing, setting out the outcome of our investigation and the steps we will take to deal with your complaint. You also have the right to contact a regulatory body or data protection authority in relation to your complaint.

Unsubscribe: To unsubscribe from our e-mail database or opt-out of communications (including marketing communications), please contact us using the details below or opt-out using the opt-out facilities provided in the communication.


Accessing and Correcting Your Information

You may send us an email at privacy@bidclips.com to request access to, correct or delete any personal information that you have provided to us. We cannot delete your personal information except by also deleting your user account. We may not accommodate a request to change information if we believe the change would violate any law or legal requirement or cause the information to be incorrect.

If you delete your User Contributions from the Website, copies of your User Contributions may remain viewable in cached and archived pages, or might have been copied or stored by other Website users. Proper access and use of information provided on the Website, including User Contributions, is governed by our Terms of Use.


Children Under the Age of 13

Our Website is not intended for children under 13 years of age. No one under age 13 may provide any person information on the Website. We do not knowingly collect personal information from children under 13. If you are under 13, do not use or provide any information on this Website or through any of its features, register on the Website, make any purchases through the Website, use any of the interactive or public comment features of this Website, or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. Effective as of July 4, 2019, BidClips, LLC, (“BidClips”) and its subsidiaries, (collectively, “we” or “us” or “our”) have updated terms that apply to the use of our Websites (as herein defined). For the purposes of these Terms of Use, the term, “Websites”, shall refer collectively to www.bidclips.com as well as any other websites that BidClips LLC operates and that link to these Terms of Use.

Terms

We provide the Websites to you subject to these Terms of Use (“Terms”), which may be updated by us from time to time pursuant to Section 2 herein. By accessing the websites at https://bidclips.com, you are agreeing to be bound by these Terms, BidClips' Privacy Policy and BidClips' Cookie Policy, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

These Terms do not apply to your access to and use of the products and services which we market for subscription on our Websites (our “Services”). The practices and policies, including how we protect, collect, and use electronic data, text, messages, communications or other materials submitted to and stored within the Services by You (“Service Data”) are detailed in and governed by our Service Agreement, or such other applicable agreement between you and any member of BidClips relating to your access to and use of such Services (“Service Agreement”).

We may change or discontinue any aspect, service or feature of the Websites at any time, including, but not limited to, content, availability, and equipment needed for access or use.

Use License

Permission is granted to temporarily download one copy of the materials (information or software) on BidClips' website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • modify or copy the materials;
  • use the materials for any commercial purpose, or for any public display (commercial or non-commercial);

User Contributions Guidelines

The Websites may contain comments sections, discussion forums, or other interactive features (“Interactive Areas”) in which you may post or upload user-generated content, comments, video, photos, messages, other materials or items (collectively, “User Contributions”). You are solely responsible for your use of any Interactive Areas and you use them at your own risk. Interactive Areas are available for individuals aged 13 years or older. By submitting User Contributions to an Interactive Area, you represent that you are 13 years of age or older and, if you are under the age of 18, you either are an emancipated minor or have obtained the legal consent of your parent or legal guardian to enter into these Terms, submit content, and participate on the Websites.

Permitted and Prohibited Uses of Interactive Areas

You may use the Interactive Areas of the Websites for the sole purpose of sharing and exchanging ideas with other Users. You may not use them to violate any applicable local, state, national, or international law, including without limitation any applicable laws relating to antitrust or other illegal trade or business practices, federal and state securities laws, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, and any U.S. laws, rules, and regulations governing the export and re-export of commodities or technical data. By submitting User Contributions or participating in the Interactive Areas of the Websites, you agree:

  • not to upload or transmit any material that infringes or misappropriates any person's copyright, patent, trademark, or trade secret, or disclose via the the Website any information the disclosure of which would constitute a violation of any confidentiality obligations you may have.
  • not to upload any viruses, worms, Trojan horses, or other forms of harmful computer code, nor subject the Website's network or servers to unreasonable traffic loads, or otherwise engage in conduct deemed disruptive to the ordinary operation of the Website.
  • not to upload any User Contributions which contain or advocate sexually explicit, suggestive, or pornographic material and content. This includes, but is not limited to, images, videos, language, text, and links to other content areas containing or discussing pornography, bestiality, pedophilia, incest, or any other content considered lewd or obscene.
  • not to communicate on or through the Website any unlawful, harmful, offensive, threatening, abusive, libelous, harassing, defamatory, vulgar, obscene, profane, hateful, fraudulent, sexually explicit, racially, ethnically, or otherwise objectionable material of any sort, including, but not limited to, any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or international law.
  • not to compile and or use other Users' personal information, including addresses, telephone numbers, fax numbers, email addresses or other contact information that may appear on the Website, for the purpose of creating or compiling marketing and/or mailing lists and from sending other Users unsolicited marketing materials, whether by facsimile, email, or other technological means.
  • not to send Users' personal information to third-party parties for marketing purposes. The Operators shall deem the compiling of marketing and mailing lists using Users' personal information, the sending of unsolicited marketing materials to Users, or the distribution of Users' personal information to third parties for marketing purposes as a material breach of these Terms and Conditions of Use, and the Operators reserve the right to terminate or suspend your access to and use of the Website and to suspend or revoke your membership in the consortium without refund of any membership dues paid.
  • not to represent or suggest, directly or indirectly, BidClips' endorsement of User Contributions.
  • not to directly, or through direction of a third party, use any service, technology or automated system to artificially inflate the page views that your User Contributions receives. This includes pay-per-click services, web “robots” and any other current or future technologies.
  • not to directly, or through direction of a third party, use any technology, service or automated system to post more User Contributions than an individual could upload in a given period of time.

We aknowledge that unauthorized use of Users' personal information in connection with unsolicited marketing correspondence also may constitute violations of various state and federal anti-spam statutes. In the event we become aware of such violations, we reserve the right to report the abuse of Users' personal information to the appropriate law enforcement and government authorities, and we will fully cooperate with any authorities investigating violations of these laws.

User Contributions

We do not want to receive confidential or proprietary information from you through the Website. Any User Contributions, material, information, or other communication you transmit or post to the Website will be considered non-confidential.

All User Contributions to this site are licensed by you under the MIT License to anyone who wishes to use them, including the Operators.

If you work for a company or at a University, it's likely that you're not the copyright holder of anything you make, even in your free time. Before making User Contributions to this site, get written permission from your employer.

By submitting User Contributions to the Websites, you automatically grant us a royalty-free, perpetual, irrevocable, non-exclusive, worldwide right and license to use, publish, reproduce, modify, adapt, edit, translate, create derivative works from, incorporate into other works, distribute, sublicense (through multiple tiers) and otherwise exploit such User Contributions (in whole or in part) in any form, media or technology now known or hereafter developed, without payment to you or to any third parties. You further grant to us the right, but not the obligation, to pursue at law any person or entity that violates your or our rights in the User Contributions by a breach of these Terms.

Comments Sections and Discussion Forums

We have the right, but are not obligated to, monitor or review any areas on the Website where users transmit or post communications or communicate solely with each other, including but not limited to comments sections, discussion forums and email lists, and the content of any such communications. We however, will have no liability related to the content of any such communications, whether or not arising under the laws of copyright, libel, privacy, obscenity, or otherwise. We may edit or remove content on the the Website at our discretion at any time.

Any conduct that we, in our sole discretion, believe restricts or inhibits anyone else from using or enjoying the Websites will not be permitted. We reserve the right, in our sole discretion, to remove or edit User Contributions submitted by you.

We are not responsible for the accuracy or credibility of any User Contributions, and do not take any responsibility or assume any liability for any actions you may take as a result of reading User Contributions posted on the Websites. Through your use of Interactive Areas, you may be exposed to content that you may find offensive, objectionable, harmful, inaccurate or deceptive. Governing Law

These Terms and your use of the Websites shall be governed by the laws of the State of Montana, excluding its conflicts of law rules. Each party expressly consents to the jurisdiction of the state and federal courts of Montana to resolve any dispute arising from these Terms and waives any defense of inconvenient or improper forum. In 2000, the "Do What The Fuck You Want To Public License" (WTFPL) was released as a public-domain-equivalent license for software.[2] It is distinguished among software licenses by its informal style and lack of a warranty disclaimer. In 2016, according to Black Duck Software,[nb 1] the WTFPL was used by less than 1% of FOSS projects.

The Unlicense software license, published around 2010, offers a public-domain waiver text with a fall-back public-domain-like license, inspired by permissive licenses but without an attribution clause.[4][5] In 2015 Github reported that approximately 102,000 of their 5.1 million licensed projects, or 2%, use the Unlicense.[nb 2]

The Toybox license, referred to by the Open Source Initiative as the Zero Clause BSD license,[7] removes all conditions from the ISC license, leaving only an unconditional grant of rights and a warranty disclaimer.[8] It is also listed by the Software Package Data Exchange as the Zero Clause BSD license, with the identifier "0BSD."[9]

In 2009, Creative Commons released CC0, which was created for compatibility with jurisdictions where dedicating to public domain is problematic, such as continental Europe.[citation needed] This is achieved by a public-domain waiver statement and a fall-back all-permissive license, for cases where the waiver is not valid.[10][11]

The Free Software Foundation[12][13] and the Open Knowledge Foundation approved CC0 as a recommended license to dedicate content and software to the public domain.[14][15] In June 2016 an analysis of the Fedora Project's software packages placed CC0 as the 17th most popular license.[nb 3]

GPL

This license, commonly known as the GPL, has two versions that are actively and widely used in many open source communities:
